Usage Agreement of the Angel Partners for fikrtech Platform

تم إبرام هذه الاتفاقية (المشار اليها بـ”الاتفاقية“) بين المستخدم (المشار إليه بـ “المستخدم” أو “الشريك الملائكي“ أو “الشركاء الملائكيين” أو “أنت“) وشركة فكرلاب (المشار إليها بـ “فكرلاب“ أو “شركة فكرلاب” أو “الشركة“) لاستخدام منصتها (المشار إليها بـ “المنصة” أو “منصة فكرتك“).

This agreement (the “Agreement”) is made between the user (referred as “User” or “Angel Partner” or “You”), and fikrlab company (referred as “fikrlab” or “fikrlab company” or “the company”) for using its Platform (referred as “Platform” or “fikrtech Platform”).

باستخدام منصة فكرتك، أنت تقر وتوافق على كافة الشروط والأحكام المبينة في اتفاقية الاستخدام هذه. منصة فكرتك هي منصة تطوير برمجيات تم تطويرها وجاري إدارتها بواسطة شركة فكرلاب، شركة تطوير وادارة المنصات الألكترونية. تهدف منصة فكرتك إلى تمكين الأفراد، المشار اليهم بـالشركاء الملائكيين، من المساهمة ماليًا في مبادرات شركة فكرلاب التي تحتوي:

By accessing and using fikrtech Platform, you agree to comply with the terms and conditions set forth in this Usage Agreement. fikrtech Platform is a software development Platform provided by fikrlab, a software development company. The purpose of the Platform is to enable individuals, referred to as Angel Partners, to contribute financially towards various initiatives facilitated by fikrlab company. The initiatives supported by fikrtech Platform include:

1) تطوير منتجات تكنولوجية جديدة: تتيح المنصة للشركاء الملائكيين المساهمة ماليًا في تطوير منتجات ألكترونية مبتكرة تبدأ من مرحلة الفكرة. يتم عرض هذه المنتجات على المنصة باسم “أفكار” ليتم تطويرها بواسطة فكرلاب قريبًا.

1) Development of new technology-based products: The Platform allows Angel Partners to contribute financially towards the development of innovative products that are in the ideation phase. These products are showcased on the Platform as “Ideas” and are intended to be developed by fikrlab soon.

2) تأسيس الشركات الناشئة: بالإضافة إلى تطوير المنتجات، ستقوم فكرلاب أيضًا بتأسيس الشركات الناشئة التي ستعتمد على منتجات منصة فكرتك في القيام بعملها وتحقيق ارباحها. من بين هذه الشركات الناشئة شركات قد تقدم خدمات موجهه للشركات (B2B) و/أو للأفراد المستهلكين (B2C). سيكون للشركاء الملائكيين فرصة للمشاركة ماليًا في هذه الشركات الناشئة وامتلاك حصص في المنتجات الخاصة بها من خلال منصة فكرتك.

2) Establishment of startups: In addition to product development, fikrlab also supports the establishment of startups centered around fikrtech Platform products. These startups may provide business-to-business (B2B) and/or business-to-consumer (B2C) services. Angel Partners have the opportunity to participate financially in these startups and own a share(s) in both the product itself and the startup through fikrtech Platform.

3) إدارة الشركات الناشئة: بمجرد تأسيسها، ستقوم فكرلاب بإدارة العمليات اليومية الخاصة بهذه الشركات الناشئة. ويشمل ذلك توفير الموارد اللازمة والخبرة والدعم لنموها ونجاحها.

3) Operation and management of startups: Once established, fikrlab will oversee the operation and management of these startups. This includes providing necessary resources, expertise, and support for their growth and success.

للمشاركة في أي من هذه المبادرات، سيُطلب من الشركاء الملاكيين المساهمة ماليًا من خلال منصة فكرتك. تم تصميم المنصة لجمع هذه المساهمات بأمان من الشركاء الملاكيين.

To participate in any of these initiatives, Angel Partners will be required to contribute financially through fikrtech Platform. The Platform is designed to securely collect these contributions from Angel Partners.

انت تقر بموافقتك على هذه الاتفاقية على أن منصة فكرتك لا تضمن لك أي نتائج محددة أو عوائد، وانك مسؤول وحدك عن نتائج هذه المساهمات. يعني أن المكاسب المتوقعة من مساهماتك المالية لا تضمنها المنصة. وذلك يرجع لإن نجاح أو فشل أي منتج أو شركة ناشئة يخضع لعوامل متعددة خارج نطاق سيطرة منصة فكرتك.

It is important to note that by using fikrtech Platform, you acknowledge that your financial contributions do not guarantee any specific outcomes or returns. The success or failure of any product or startup is subject to various factors beyond our control.

علاوة على ذلك، انت تقر بموافقتك على هذه الاتفاقية على عدم استخدام منصة فكرتك لأي أغراض غير قانونية أو غير مصرح بها. ولا يجوز لك القيام بأي أنشطة قد تعطل أو تتداخل مع عمل المنصة أو تعرض أمانها للخطر.

Furthermore, you agree not to use fikrtech Platform for any illegal or unauthorized purposes. You shall not engage in any activities that may disrupt or interfere with the proper functioning of the Platform or compromise its security.

تحتفظ فكرلاب بالحق في تعديل أو تعليق أو إنهاء العمل على منصة فكرتك في أي وقت ودون إشعار مسبق. كما تحتفظ فكرلاب بالحق في منع أي فرد أو كيان من الولوج إلى المنصة وفقًا لتقدير فكرلاب الخاص.

fikrlab reserves the right to modify, suspend, or terminate fikrtech Platform at any time without prior notice. fikrlab also reserve the right to refuse access to the Platform to any individual or entity at its sole discretion.

باستخدام منصة فكرتك، انت تقر وتوافق على أن فكرلاب لن تكون مسؤولة عن أية خسائر مباشرة أو غير مباشرة أو عارضة أو ناتجة عن استخدام المنصة من قبلكم.

By using fikrtech Platform, you acknowledge and agree that fikrlab shall not be liable for any direct, indirect, incidental, consequential, or exemplary damages arising from your use of the Platform.

فكرلاب لا تقدم نصائح أو توصيات استثمارية من اي نوع، وجميع القرارات المتعلقة بالمشاركة في منتجات فكرتك (المشار إليها باسم “الأفكار” في منصة فكرتك) يتخذها المستخدم (الشريك الملائكي) ويتحمل مسؤوليتها وحده.

fikrlab does not offer investment advice or recommendations, and all decisions regarding participation in any of fikrtech products (referred as “Ideas” in fikrtech Platform) are made solely by the user (Angel Partner).

يرجى قراءة اتفاقية الاستخدام هذه بعناية قبل استخدام منصة فكرتك. من خلال الولوج واستخدام المنصة، انت تقر وتوافق على كافة البنود الواردة بهذه الاتفاقية. إذا لم توافق على أي جزء من هذه الاتفاقية، يجب ان تمتنع من استخدام منصة فكرتك.

Please read this Usage Agreement carefully before using fikrtech Platform. By accessing and using the Platform, you indicate your acceptance of these terms and conditions. If you do not agree with any part of this agreement, you should refrain from using fikrtech Platform.

01. استخدام المنصة

01. Use of Platform

1.1. باستخدام منصة فكرتك، انت تقر بأن منصة فكرتك هي مخصصة حصرًا لتسهيل مشاركة الشركاء الملائكيين في إنتاج المنتجات التي سيتم تطويرها من قبل فكرلاب (بوصفها شركة تطوير وادارة منصات أليكترونية) بدأ من مرحلة الفكرة مرورا بتأسيس الشركات الناشئة وتشغيلها.

1.1. By agreeing to this usage agreement, you acknowledge that the Platform provided by fikrlab is solely for the purpose of facilitating the participation of the Angel Partner in the cost of producing the products will be developed by fikrlab (as a software development company) from the ideation phase through establishing startups based on these products and operating those startups.

1.2. انت تقر وتوافق على استخدام المنصة وفقًا لجميع القوانين والتشريعات المعمول بها.

1.2. You agree to use the Platform in accordance with all applicable laws and regulations.

1.3. انت تقر أن منصة فكرتك لا تقدم أي استشارات استثمارية أو توصيات، وأن جميع قراراتك في المشاركة في بناء أي منتج من منتجات فكرلاب يتم اتخاذها بشكل حصري من قبلك وبدون اي مسؤولية من اي نوع على فكرلاب.

1.3. You understand that fikrtech Platform does not provide any investment advice or recommendations and that all your decisions partnering in building any product of fikrlab company are made solely by you.

1.4. انت تقر على استخدام المنصة فقط في أغراضها المذكورة في هذه الاتفاقية وعدم القيام باستخدامها في اي نشاط غير قانوني من اي نوع. كما تقر أنت بعدم استخدام المنصة في نشاط قد يؤذي أو يعطل المنصة أو مستخدميها وتتحمل المسؤولية كاملة المترتبة على استخدامك للمنصة في كل الاحوال.

1.4. You agree to use the Platform only for lawful purposes and not to engage in any activity that may harm or disrupt the Platform or its users.

1.5. انت تقر بأن فكرلاب تحتفظ بالحق في تعليق أو منع وصولك إلى المنصة في أي وقت ولأي سبب دون إشعار مسبق.

1.5. You acknowledge that fikrlab reserves the right to suspend or terminate your access to the Platform at any time for any reason without notice.

1.6. انت تقر بمعرفتك بأن فكرلاب قد تقوم بتعديل أو تحديث المنصة من وقت لآخر دون إشعار مسبق وأن هذه التعديلات قد تؤثر على استخدامك للـمنصة.

1.6. You also acknowledge that fikrlab may modify or update the Platform from time to time without notice and that such modifications may affect your use of the Platform.

1.7. انت تقر وتوافق على المشاركة في برنامج الإحالة الخاص بـ فكرتك والالتزام بشروطه وأحكامه إذا اخترت أن تُحيل شركاء ملائكيين جدد للانضمام إلى المنصة.

1.7. You agree to participate in fikrtech’s referral program and abide by its terms and conditions if you choose to refer new Angel Partners to join the Platform.

02. الأهلية لإستخدام المنصة

02. Eligibility

2.1. لكي تستخدم منصة فكرتك، يجب أن يبلغ عمرك 18 عامًا على الأقل وتمتلك القدرة القانونية للدخول في اتفاق ملزم.

2.1. To use fikrtech Platform, you must be at least 18 years old and have the legal capacity to enter into a binding agreement.

2.2. يجب عليك الامتثال لجميع القوانين والتشريعات المعمول بها.

2.2. You must agree to comply with all applicable laws and regulations, including those related to securities laws and regulations.

2.3. يجب أن يكون لديك عنوان بريد إلكتروني محدد وعامل، ورقم هاتف محمول وحساب بنكي، وتضمين هذه المعلومات بشكل كامل عند التسجيل في المنصة أو عبر إرسال بريد إلكتروني من البريد الإلكتروني المرتبط بك مع إرفاق وثيقة هوية قانونية إلى team@fikrtech.com.

2.3. You must have a valid email address, a working mobile number, bank account number, and to provide accurate and complete information when registering for the platform or through sending email from your associated email with your legal ID document attached, mentioning your data to team@fikrtech.com.

2.4. انت تقر بمعرفتك بأن الشراكة في بناء شركات ناشئة جديدة تنطوي على مخاطر كبيرة، بما في ذلك خطر فقدان المبلغ الكامل الذي شاركت به، والفترة المعتادة لبناء شركة ناشئة تستغرق حوالي 7 إلى 10 سنوات.

2.4. You must acknowledge that partnering in building startups involves significant risks, including the risk of losing the entire amount you participated with, and the typical period building a startup takes around 7 years to 10 years.

2.5. انت تقر وتوافق على استخدام منصة فكرتك للأغراض القانونية فقط كما تقر عدم استخدام المنصة في الانخراط في أي أنشطة احتيالية أو غير قانونية.

2.5. You must agree to use the fikrtech Platform solely for lawful purposes and not engage in any fraudulent or illegal activities.

2.6. انت تقر وتوافق على الامتثال لشروط وأحكام اتفاقية الاستخدام هذه، بالإضافة إلى أي شروط وأحكام إضافية قد يتم نشرها على منصة فكرتك او احدى قنواتها التكنولوجية من وقت لآخر.

2.6. You must agree to abide by the terms and conditions of this usage agreement, as well as any additional terms and conditions that may be posted on fikrtech Platform from time to time.

2.7. تحتفظ فكرلاب بالحق في رفض تقديم الخدمة أو منع الولوج إلى المنصة لأي شخص في أي وقت دون إشعار أو مسؤولية، بما في ذلك ولا يقتصر على أولئك الذين لا يستوفون معايير الأهلية المبينة أعلاه أو ينتهكون أيًا من شروط وأحكام اتفاقية الاستخدام هذه.

2.7. fikrlab reserves the right to refuse service or access to its Platform to anyone at any time without notice or liability, including but not limited to those who do not meet the eligibility criteria outlined above or who violate any of the terms and conditions of this usage agreement.

03. تسجيل حساب جديد

03. Account Registration

من خلال تسجيل حساب جديد على منصة فكرتك التقنية، فـإنك توافق على الشروط والأحكام التالية:

By registering an account on fikrtech Platform, you agree to the following terms and conditions:

3.1. انت تقر على الحفاظ على بيانات تسجيل الدخول الخاصة بك سرية وعدم مشاركتها مع أي شخص آخر.

3.1. You agree to keep your login credentials confidential and not share them with anyone else.

3.2. باستخدام منصة فكرتك، انت تقر وتتفهم أنك بالمشاركة في منتجات فكرلاب كشريك ملائكي، فأنت تشارك بأموالك في شركات ناشئة ذات إمكانية عائد عالٍي ولكن أيضًا بنسبة مخاطرة عالية قد تتكبد معها خسارة كل الكمية المستخدمة في المشاركة.

3.2. You understand that by participating in fikrlab products and startups as Angel Partner, you are participating with your money in startups with the potential for high returns but also with a high risk of loss.

3.3. انت تقر وتوافق بأن فكرلاب ليست وسيطًا أو مستشارًا استثماريًا ولا تقدم نصائح أو توصيات استثمارية، وانما شركة تطوير وادارة منصات ألكترونية ومنصة فكرتك منصة يتاح من خلالها المشاركة في أفكار/منتجات فكرلاب على مسؤوليتك الخاصة.

3.3. You acknowledge that fikrlab is not a registered broker-dealer or investment advisor and does not provide investment advice or recommendations, and fikrtech Platform facilitates the participation in fikrlab ideas/products on your own responsibility.

3.4. انت تقر باستخدام منصة فكرتك في الأغراض المنصوص عليها في هذه الاتفاقية فقط وعدم استخدام المنصة في الانخراط في أي أنشطة احتيالية أو غير قانونية.

3.4. You agree to use fikrtech Platform only for lawful purposes and not engage in any fraudulent or illegal activities.

3.5. انت تقر بأن برنامج الإحالة في فكرتك يوفر فرصة للشركاء الملائكيين لكسب عمولات من خلال إحالة شركاء ملائكيين جدد للانضمام إلى المنصة، وذلك وفقًا للأحكام المذكورة في هذه الاتفاقية.

3.5. You understand that fikrtech’s referral program provides an opportunity for angle partners to earn by referring new angle partners to join the Platform.

3.6. انت تقر بأن فكرلاب تحتفظ بالحق في إنهاء حسابك في أي وقت ولأي سبب دون إشعار مسبق.

3.6. You acknowledge that fikrlab reserves the right to terminate your account at any time for any reason without notice.

3.7. بتسجيل حساب على منصة فكرتك، تقر بأنك قد قرأت ووافقت على هذه الشروط والأحكام، بالإضافة إلى سياسة الخصوصية الخاصة بـالمنصة.

3.7. By registering an account on fikrtech Platform, you acknowledge that you have read and agree to these terms and conditions as well as our privacy policy.

04. المشاركة في أفكار/منتجات فكرتك

04. Contribute in fikrtech Ideas/Products

4.1. تتيح منصة فكرتك للأفراد، المعروفين بـالشركاء الملائكيين، المساهمة ماليا في تطوير منتجات تكنولوجية جديدة، وإنشاء شركات ناشئة متمحورة حول هذه المنتجات، وتشغيل وإدارة هذه الشركات. من خلال المشاركة، يمكن للـشركاء الملائكيين امتلاك حصة في المنتج نفسه والشركة الناشئة التي سيتم تأسيسها بناءً على هذا المنتج.

4.1. fikrtech Platform allows individuals, referred to as Angel Partners, to contribute financially towards the development of new technology-based products, the establishment of startups centered around these products, and the operation and management of these startups. By contribution, Angel Partners can own a stake in both the product itself and the startup that will be established based on this product.

4.2. يمكن للـشركاء الملائكيين المشاركة في أي منتج من منتجات فكرتك والمشار اليها كـفكرة معروضه على منصة فكرتك. وذلك من خلال المساهمة بمبلغ عبر منصة فكرتك. في الجولة الأولى لهذه الفكرة، سيحصل الـشركاء الملائكيين على سهم واحد من أصل 10 ملايين سهم من حقوق الملكية لهذه الفكرة (المنتج) المقدم على المنصة، مقابل كل 10 دولار أمريكي (أو ما يعادل 37 درهم إماراتي في وقت المشاركة).

4.2. Angel Partners can participate in Idea by contributing a certain amount through the fikrtech Platform. In the first Seed Round for this Idea, for each ten US dollars (or what equivalent to 37 AE dirhams at the time of participation), Angel Partners will receive 1 share out of 10 million shares of equity of this Idea (product) presented on the Platform.

4.3. المستخدم يقر ويوافق على ان الطريقة الوحيدة من خلال المشاركة في فكرة/منتج من الافكار/المنتجات المعروضة على منصة فكرتك تكون عن طريق منصة فكرتك فقط وليس من خلال أي وسيلة أخرى.

4.3. The user agrees that the only way to participate in one of the Ideas/Products in fikrtech Platform is through fikrtech Platform only, not other means.

4.4. المستخدم يدرك أنه سوف يستفيد من مشاركته من خلال منصة فكرتك إما عن طريق بيع حصته في المنتجات التي شارك فيها حصريًا على نفس المنصة قبل طرح الشركة للاكتتاب العام، أو بانتظار بيعها بعد طرح الشركة للاكتتاب العام في سوق البورصة، أو انتظار تحقيق توزيعات الأرباح بعد ذلك.

4.4. The user understands that he/she will benefit from his/her participation through fikrtech Platform either by selling shares in the products he/she participated in exclusively on the same Platform before the startup IPO, or by waiting to sell them after the IPO in the stock exchange market or waiting for dividends collecting after that.

4.5. المستخدم يقر بأن فكرلاب لا تضمن أي عوائد للمبالغ المشارك بها في أفكار/منتجات فكرلاب المعروضة على منصة فكرتك والمشار لها بالـأفكار/المنتجات على المنصة.

4.5. The user acknowledges that fiklab does not guarantee any returns of amounts used in participation in building startups.

4.6. المستخدم يقر ويوافق على ان لا يتعدى حد المشاركة الاقصى حسب تقدير فكرلاب لتقليل المخاطر.

4.6. The user agrees never to exceed the maximum amount of participation as determined by fikrlab for each product to minimize the risk.

4.7. المستخدم يدرك أنه قد يحصل على نسبة من الأرباح من حصصه إذا أصبحت الشركة الناشئة رابحة.

4.7. The user understands that he/she may earn a significant amount of profits from their shares if the startup becomes profitable.

4.8. المستخدم يدرك أنه قد يحصل أيضًا على عمولة بنسبة 10% من خلال إحالة شركاء ملاكيين جدد للانضمام إلى منصة فكرتك من خلال برنامج الإحالة.

4.8. The user understands that they may also earn 10% commission by referring to new Angel Partners to join fikrtech Platform through its referral program.

4.9. المستخدم يقر بالامتثال لجميع القوانين والأنظمة ذات الصلة، بما في ذلك وليس على سبيل الحصر قوانين الضرائب.

4.9. The user agrees to comply with all applicable regulations and regulations regarding investing, including but not limited to tax laws and securities laws.

4.10. يحق للشركاء الملائكيين بعد المشاركة في فكرة واحدة إحالة شركاء ملائكيين جدد للانضمام إلى منصة فكرتك للمشاركة في هذه الفكرة، وفي هذه الحالة سيربحون مكافأة إحالة قدرها 10% من مبلغ مشاركة الشريك الملائكي الجديد في نفس الفکرة.

4.10. Angel Partners after participation in one idea can refer new Angel Partners to join the fikrtech Platform to participate in this idea, they will earn a referral bonus of 10% of the new Angel Partner’s participation amount in the same idea.

05. انتقال ملكية منتجات فكرتك

05. fikrtech Products Ownership Transfer

1.5. يحق للشركاء الملائكيين الذين شاركوا من خلال منصة فكرتك في افكار (منتجات) فكرلاب أن ينقلوا ملكية حصص مشاركتهم للغير حصريًا باستخدام منصة فكرتك، وذلك بعد اعلان فكرلاب على المنصة عن فترة نقل ملكية وذلك فقط خلال هذه الفترة ودون غيرها. ويحظر عليهم نقل الملكية في اي وقت دون ذلك.

5.1. Angel partners who have participated through fikrtech Platform into fikrlab Ideas (Products) may transfer the ownership of their shares in fikrtech products exclusively using fikrtech Platform once fikrlab open Ownership Transfer Time Slot and only though out this Time Slot only.

5.2. يحق أيضًا للشركاء الملائكيين الانتظار حتى طرح الشركة المشارك فيها للاكتتاب العام لبيع أسهمهم في البورصة أو انتظار توزيعات الأرباح.

5.2. Angel Partners may also choose to wait for the IPO to sell their shares in the stock exchange market or wait for dividends collection.

5.3. ستوفِّر منصة فكرتك عملية شفافة وآمنة لنقل ملكية المشاركات في افكار(منتجات) فكرتك، مضمنةً أن جميع المعاملات تجرى وفقًا للقوانين والأنظمة ذات الصلة.

5.3. fikrtech Platform will provide a transparent and secure process for fikrtech Products Shares Ownership Transfer, ensuring that all transactions are conducted in compliance with applicable laws and regulations.

06. رسوم منصة فكرتك

06. fikrtech Platform Fees

6.1. رسوم الاشتراك في منصة فكرتك

6.1. Subscription Fees

6.1.1. يتطلب من مستخدمي منصة فكرتك دفع رسوم اشتراك للولوج إلى خدمات المنصة واستخدامها.

6.1.1. Users of the fikrtech Platform are required to pay a monthly subscription fee in order to access and utilize the Platform’s services.

6.1.2. سيتم تحديد مبلغ رسوم الاشتراك بوضوح على منصة فكرتك الإلكتروني أو أي قنوات اتصال أخرى معينة من قبل فكرتك.

6.1.2. The subscription fee amount will be clearly stated on the fikrtech website or any other communication channels designated by fikrtech.

6.1.3. سيتم دفع رسوم الاشتراك بشكل شهري، ابتداءً من تاريخ التسجيل الأول للمستخدم على المنصة.

6.1.3. Users will be billed for the subscription fee on a monthly basis, starting from the date of their initial registration on the Platform.

6.1.4. يجب أن يتم دفع رسوم الاشتراك عبر وسائل الدفع المحددة التي توفرها فكرتك، مثل بطاقة الائتمان أو بوابات الدفع عبر الإنترنت.

6.1.4. Payment for the subscription fee shall be made through the designated payment methods provided by fikrtech, such as credit card or online payment gateways.

6.1.5. قد يؤدي عدم دفع رسوم الاشتراك في المهلة المحددة إلى تعليق أو إلغاء الولوج إلى المنصة.

6.1.5. Failure to pay the subscription fee within the specified timeframe may result in suspension or termination of access to the Platform.

6.2. الرسوم الاجرائية/الإدارية

6.2. Transaction/Administration Fees

6.2.1. بالإضافة إلى رسوم الاشتراك، قد يخضع المستخدمون لرسوم اجرائية/إدارية عن بعض الأنشطة التي يتم إجراؤها على منصة فكرتك، مثل المساهمة/المشاركة في أفكار/منتجات فكرلاب، نقل ملكية حصص المشاركة في أفكار/منتجات فكرلاب، أو المشاركة في المزادات، أو الانخراط في أي نشاط يولِّد إيرادات آخر من قِبَل فكرتك او اي خدمات الإضافية.

6.2.1. In addition to the subscription fee, users may be subject to transaction/administration fees for certain activities conducted on the fikrtech Platform, such as participating in fikrlab Ideas/Products, fikrlab Ideas/Products Ownership Transfer, participating in auctions, or engaging in any other revenue-generating activities facilitated by fikrtech or any additional services.

6.4.1. fikrlab reserves the right to modify its subscription fees and transaction/administration fees at any time, with prior notice to users.

6.4.2. سيتم اشعار المستخدمون بأي تعديلات على الرسوم من خلال منصة فكرتك أو قنوات اتصال أخرى محددة من قبل فكرتك.

6.4.2. Users will be informed about any fee modifications through the fikrtech website or other communication channels designated by fikrtech.

6.4.3. يحق للمستخدمين الذين لا يوافقون على التغيرات في الرسوم أن يختاروا إنهاء اشتراكهم وإنهاء استخدام المنصة.

6.4.3. Users who do not agree with the modified fees may choose to terminate their subscription and discontinue using the Platform.

6.5.3. By accessing and using the fikrtech Platform, users acknowledge and agree to abide by the fees outlined in this section of the usage agreement.

7.1. Ownership of Intellectual Property: All intellectual property rights, including but not limited to copyrights, trademarks, patents, trade secrets, and any other proprietary rights related to the of fikrtech Platform shall remain the sole and exclusive property of fikrlab and its licensors.

7.2. محتوى المستخدم: من خلال استخدام المنصة، انت توافق على أن أي محتوى تُحمِّله أو تُنشِئه أو تجعله متاحًا على المنصة (“محتوى المستخدم“) يظل ملكًا خاصًا بك أو أنه قد حصَلْتَ على جميع الحقوق اللازمة لاستخدام ومشاركة هذا المحتوى. ومع ذلك، من خلال تحميل أو مشاركة محتوى المستخدم على المنصة، انت تمنح لفكرلاب الحق في استخدام هذا المحتوى بشكل غير حصري في اي مكان في العالم دون الحاجة لدفع أي اجر للاستخدام، وذلك يتضمن اي تغيير قد تنشأه فكرلاب من إعادة إنتاج، وتعديل، وتطبيق، ونشر، وترجمة، وتوزيع، وعرض هذا المحتوى لأغراض تشغيل المنصة والترويج لها.

7.2. User Content: By using the Platform, you agree that any content you upload, post, or otherwise make available on the Platform (“User Content”) shall remain your sole property or that you have obtained all necessary rights to use and share such User Content. However, by uploading or sharing User Content on the Platform, you grant fikrlab a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, adapt, publish, translate, distribute and display such User Content for the purposes of operating and promoting the Platform.

7.3. استخدام الملكية الفكرية الممنوع: انت توافق على عدم استخدام أي ملكية فكرية تنتمي إلى فكرلاب دون الحصول على إذن كتابي مسبق. يشمل ذلك وليس يقتصر على نسخ، تعديل، توزيع أو إنشاء أعمال مشتقة بناءً على أي جزء من المنصة.

7.3. Prohibited Use of Intellectual Property: You agree not to use any intellectual property belonging to fikrlab without obtaining prior written permission. This includes but is not limited to copying, modifying, distributing or creating derivative works based on any part of the Platform.

7.4. الإبلاغ عن انتهاك حقوق الملكية: إذا كنت تعتقد أن حقوق الملكية الفكرية الخاصة بك قد تم انتهاكها أثناء استخدام المنصة، يُرجى إبلاغ فكرلاب فورًا من خلال رسال بريد إلكتروني إلى team@fikrech.com ستقوم فكرلاب بالتحقيق في أى انتهاك مُبَلّغ عَنْه واتخاذ الإجراءات المُناسبة حسب الضوابط القانونية.

7.4. Reporting Infringement: If you believe that your intellectual property rights have been infringed upon while using the Platform, please notify fikrlab immediately by sending an email to team@fikrtech.com. fikrlab will promptly investigate any reported infringement and take appropriate actions as may require by law.

7.5. الملكية الفكرية للأطراف الأخرى: قد تحتوي المنصة على محتوى أو مواد تمتلكها أطراف أخرى. يجب أن يكون أي استخدام للملكية الفكرية لأطراف الأخرى متوافقًا مع القوانين واللوائح المعمول بها. لن تتحمل فكرلاب أي مسؤولية عن أي محتوى منشور من قبل أطراف أخرى على المنصة.

7.5. Third-Party Intellectual Property: The Platform may contain content or materials that are owned by third parties. Any use of third-party intellectual property must be in compliance with applicable laws and regulations. fikrlab does not endorse or assume any responsibility for any third-party content posted on the Platform.

7.7. Modifications: fikrlab reserves the right to modify or update this Intellectual Property Rights section of the Usage Agreement at any time without prior notice. It is your responsibility to review this section periodically for any changes.

8.5.2. إذا لم يتم حل النزاع من خلال التفاوض، يوافق الأطراف على تقديم نزاعهم إلى المحاكم المختصة في دولة الإمارات العربية المتحدة لإيجاد حل.

8.5.2. If a dispute cannot be resolved through negotiations, the parties agree to submit to the exclusive jurisdiction of the courts located in United Arab Emirates reach resolution.

8.5.3. باستخدام منصة فكرتك، انت تقر وتوافق على التزامك بالشروط والأحكام المبينة في هذه الاتفاقية، بما في ذلك قسم إنهاء الاستخدام.

8.5.3. By accessing or using the Platform, you acknowledge and agree to be bound by the terms and conditions set forth in this agreement, including the Termination section.

9.1.2. fikrlab does not warrant that the Platform will be uninterrupted, error-free, secure, or free from viruses or other harmful components. You acknowledge that your use of the Platform is at your own risk.

9.2.2. You acknowledge that any reliance on information obtained from the Platform is solely at your own risk. It is recommended to seek professional advice before making any decisions based on the information provided on fikrtech Platform.

9.4.1. You agree that fikrlab will not be liable, in no event, for any direct, indirect, incidental, consequential, special, punitive damages, or any other damages whatsoever arising out of or in connection with your use of the Platform.

9.6.1. fikrlab reserves the right to modify or discontinue the Platform or any part thereof at any time without prior notice. fikrtech shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Platform.

9.7.1. تخضع هذه الاتفاقية للقوانين المعمول بها في دولة الإمارات العربية المتحدة وفقًا لمبادئها المتعلقة بتسوية النزاعات.

9.7.1. This Agreement shall be governed by and construed in accordance with the laws of the United Arab Emirates to its conflict of law principles.

9.7.2. By using fikrtech Platform, you acknowledge that you have read, understood, and agreed to be bound by this Disclaimer of Warranties section as part of our usage agreement. If you do not agree with any part of this section, please refrain from using fikrtech Platform.

10.1. No Warranty: fikrlab makes no warranties or representations regarding the accuracy, reliability, completeness, or timeliness of any information or content available on its Platform. The Platform is provided on an “as is” and “as available” basis without any warranties of any kind, whether express or implied.

10.2. تحديد المسؤولية: بأقصى حد يسمح به القانون المعمول به، فإن فكرلاب/فكرتك وشركائها والإدارة التابعة لها والعاملين بها والشركاء والجهات المفوضة لها ليست مسؤولة عن أي ضرر مباشر أو غير مباشر أو عرضي أو خاص أو ناتج عن استخدام المنصة. هذا يشمل، دون حصر، الأضرار الناتجة عن فقدان الأرباح، السُّمْعَةِ الطَّيِّبَةِ، البَيَانَاتِ، أَخْطَاءٌ غيرُ قابلَةٌ لِلاِستِبْدَالِ.

10.2. Limitation of Liability: To the maximum extent permitted by applicable law, fikrlab/fikrtech and its affiliates, directors, officers, employees, agents, partners, and licensors shall not be liable for any direct, indirect, incidental, special, consequential or exemplary damages arising out of or in connection with your use of the Platform. This includes but is not limited to damages for loss of profits, goodwill, data or other intangible losses.

10.3. تعويض: انت تقر وتوافق على حماية فكرلاب وشركائها من أي مطالبات تنشأ عن استخدامك للمنصة أو انتهاكك لهذه الشروط. كما تقر و توافق على تعويض فكرلاب عن أية خسائر يتم تحميلها نتيجة لمطالبات أطراف آخرى متعلقة باستخدامك للمنصة.

10.3. Indemnification: You agree to indemnify and hold harmless fikrlab and its affiliates from any claims arising out of your use of the Platform or violation of these terms. You further agree to indemnify fikrlab against any losses incurred as a result of third-party claims related to your use of the Platform.

10.4. محتوى الأطراف الآخرى: قد تقدم فكرلاب روابط إلى مواقع أو محتوى من جهات آخرى على المنصة لأغراض إعلامية فقط. فكرلاب لا تؤيد ولا تتحمل أي مسؤولية عن هذا المحتوى ويُعد الوصول إلى واستخدام المحتوى من جهات آخرى مسؤوليتك الخاصة بشكل كامل.

10.4. Third-Party Content: fikrlab may provide links to third-party websites or content on its Platform for informational purposes only. fikrlab does not endorse or assume any responsibility for such third-party content. Your access and use of third-party content are solely at your own risk.

10.5. قوة قهرية: تُعفى فكرلاب من مسؤوليتها عن أداء التزاماتها بموجب هذه الاتفاقية إذا كان سبب هذا الفشل أو التأخير ناتجًا عن أحداث خارجة عن سيطرتها بشكل قاهر، بما في ذلك ولكن دون الاقتصار على القضاء والقدر، الكوارث الطبيعية، الحروب، الإرهاب، الإضرابات، الإضطرابات السياسية، الجوائح الوبائية، انقطاع التيار الكهربائي، أو انقطاع خدمة الإنترنت.

10.5. Force Majeure: fikrlab shall not be liable for any failure or delay in performing its obligations under this agreement if such failure or delay is caused by events beyond its reasonable control including but not limited to acts of God, natural disasters, war, terrorism, strikes, political unrest, epidemic pandemics, power outages, or internet disruptions.

10.6. قيود قضائية: قد لا تسمح بعض الدول او الولايات بإستبعاد أو تحديد المسؤولية عن بعض أنواع التلف. وبالتالي، قد لا يُطبَّق هذان التحديدان في حال كان ذلك مُحظورًا بموجب القانون المعمول به.

10.6. Jurisdictional Limitations: Some jurisdictions do not allow the exclusion or limitation of liability for certain types of damages. Therefore, the above limitations may not apply to you to the extent prohibited by applicable law.

By using the Platform provided by fikrlab, you agree to indemnify and hold harmless fikrlab, its affiliates, directors, officers, employees, agents, and partners from any claims, damages, losses, liabilities, costs or expenses (including attorneys’ fees) arising out of or related to your use of the Platform.

11.2. باستخدام منصة فكرتك، انت تقر وتوافق على تعويض فكرلاب ضد أية مطالبات أو إجراءات قد يبدأها أي طرف ثالث ناتجة عن أو في سياق استخدامك للمنصة في الحالات التالية:

11.2. By using fikrtech Platform, you agree to indemnify fikrlab for any claims or actions brought against us by any third party arising out of or in connection with:

11.2.2. Your breach of any terms and conditions outlined in this usage agreement.

11.2.3. Any content you submit, post or transmit through the Platform.

11.2.4. أي انتهاك لحقوق الملكية الفكرية ترتكبه من قبلك.

11.2.4. Any infringement of intellectual property rights by you.

11.2.5. أي وصول غير مصرح به إلى المنصة أو استخدام لها من قبلك.

11.2.5. Any unauthorized access to or use of the Platform by you.

11.3. ستقوم فكرتك بإبلاغك فوراً و كتابياً بأية مطالبة تُطلب في شكل تعويضًا عنها وستقدم المساعدة المعقولة في الدفاع عن هذه المطالبة على نفقتك. لديك الحق في اختيار مستشار قانوني للدفاع ضد مثل هذه المطالبات؛ ومع ذلك، تحتفظ فكرتك بالحق في اختيار ممثلها في الدفاع و المشاركة في مفاوضات التسوية.

11.3. fikrtech will promptly notify you in writing of any claim for which it seeks indemnification and will provide reasonable assistance in defending such a claim at your expense. You shall have the right to select legal counsel to defend against such a claim; however, fikrtech reserves the right to select a defense attorney and participate in settlement negotiations.

11.4. أنت تفهم وتقر بأن فكرتك لا تضمن دقة أو اكتمال أو موثوقية أي محتوى متاح على منصتها. وعليه، فإنك توافق على أن استخدامك للمنصة يكون على مسؤوليتك الخاصة، وأنه لا يمكن محاسبة فكرتك على أي أضرار ناجمة عن الاعتماد على هذا المحتوى.

11.4. You understand and acknowledge that fikrtech does not guarantee the accuracy, completeness or reliability of any content available on its Platform. Therefore, you agree that your use of the Platform is at your own risk and that fikrtech shall not be held liable for any damages resulting from reliance on such content.

11.5. أنت تقر بأن فكرتك ليست مسؤولة عن أي تفاعلات أو معاملات بين المستخدمين على منصتها. أنت توافق على أن أية نزاعات تنشأ عن هذه التفاعلات أو المعاملات تكون بين الأطراف المعنية فقط، وأنت تعفي فكرتك من أية مطالبات أو مسؤوليات تتعلق بهذه النزاعات.

11.5. You acknowledge that fikrtech is not responsible for any interactions or transactions between users on its Platform. You agree that any disputes arising from such interactions or transactions are solely between the involved parties and release fikrtech from any claims or liabilities related thereto.

11.6. يستمر هذه البند التعويضي بعد انتهاء أو انقضاء الاتفاقية الاستخدام هذه واستخدامك للمنصة.

11.6. This indemnification clause shall survive termination or expiration of this usage agreement and your use of the Platform.

11.7. بقبولك لاتفاقية الاستخدام هذه واستخدامك للمنصة المقدمة من فكرتك، فإنك تقر بأنك قد قرأت وفهمت ووافقت على الشروط والأحكام الموضحة في قسم التعويض في هذه الاتفاقية.

11.7. By accepting this usage agreement and using the Platform provided by fikrtech, you acknowledge that you have read, understood, and agreed to the terms and conditions outlined in this indemnification section.

12. القانون الحاكم للنزاعات

12. Governing Law

12.1. تخضع اتفاقية الاستخدام (الـ”اتفاقية”) هذه في أي نزاع أو مطالبة ناشئة عنها أو فيما يتعلق بها للقوانين السارية في دولة الإمارات العربية المتحدة، دون الأخذ بمبادئ تعارض القوانين.

12.1. This Usage Agreement (the “Agreement”) and any dispute or claim arising out of or in connection with it shall be governed by and construed in accordance with the laws of the United Arab Emirates, without regard to its conflict of law principles.

12.2. عند رفع أي دعوى قضائية أو إجراء قانوني ينشأ عن هذه الاتفاقية أو يتعلق بها يجب رفعها حصريًا في المحاكم الواقعة ضمن الولاية القضائية لدولة الإمارات العربية المتحدة. يوافق كل الاطراف بموجب هذه الإتفاقية على الاختصاص الشخصي لهذه المحاكم ويتنازل عن أي اعتراض على مكان انعقاد هذه المحاكم.

12.2. Any legal action or proceeding arising out of or relating to this Agreement shall be brought exclusively in the courts located within the jurisdiction of the United Arab Emirates. Each party hereby consents to the personal jurisdiction of such courts and waives any objection to venue in such courts.

12.3. في حال تم الحكم بعدم صحة أو عدم قابلية تنفيذ أي من أحكام هذه الاتفاقية، يتم فصل هذا الحكم عن الاتفاقية، وتظل الأحكام الباقية سارية المفعول بكامل قوتها.

12.3. In the event that any provision of this agreement is held to be invalid or unenforceable, such provision shall be severed from this agreement, and the remaining provisions shall remain in full force and effect.

12.4. عند عدم قيام أي من الاطراف بتطبيق أي حق أو بند من بنود هذه الاتفاقية لا يعتبر تنازلاً عن ذلك الحق أو البند. وفي حاله التنازل يجب أن يكون أي تنازل عن أي بند من بنود هذه الاتفاقية كتابيًا وموقعًا من كلا الطرفين.

12.4. The failure by either party to enforce any right or provision under this Agreement shall not constitute a waiver of that right or provision. Any waiver of any provision under this Agreement must be in writing and signed by both parties.

12.5. تشكل هذه الاتفاقية الاتفاق الكامل بين كل الأطراف بخصوص موضوعها وتحل محل جميع الاتفاقيات والمفاهمات والمفاوضات والمناقشات السابقة، سواء كانت شفوية أو مكتوبة.

12.5. This Agreement constitutes the entire agreement between the parties regarding its subject matter and supersedes all prior agreements, understandings, negotiations, and discussions, whether oral or written.

12.6. All parties acknowledge that they have read this Agreement, understand it, and agree to be bound by its terms.

13. Entire Agreement

13.1. تشكل اتفاقية الاستخدام هذه (‘الاتفاقية’) الاتفاق الكامل بينك (‘المستخدم’) و شركة فكرلاب، بخصوص استخدام منصة فكرتك وخدماتها. بالدخول إلى منصة فكرتك أو استخدامها، أنت توافق على الالتزام بالشروط والأحكام المنصوص عليها في هذه الاتفاقية.

13.1. This Usage Agreement (the “Agreement”) constitutes the entire agreement between you (the “User”) and fikrlab company, regarding the use of fikrtech Platform and services. By accessing or using fikrtech Platform, you agree to be bound by the terms and conditions set forth in this Agreement.

13.2. نطاق الاتفاقية: تحكم هذه الاتفاقية استخدامك لمنصة فكرتك وجميع البرمجيات والتطبيقات والأدوات والخدمات المرتبطة بها التي تقدمها فكرتك (يشار إليها جماعياً بـ ‘المنصة’). تحل هذه الاتفاقية محل أي اتفاقيات أو مفاهمات سابقة، سواء كانت مكتوبة أو شفوية، تتعلق بموضوع هذه الاتفاقية.

13.2. Scope of Agreement: This Agreement governs your use of fikrtech Platform, including any associated software, applications, tools, and services provided by fikrtech (collectively referred to as the “Platform”). This Agreement supersedes any prior agreements or understandings, whether written or oral, relating to the subject matter herein.

13.3. التعديلات: تحتفظ فكرتك بالحق في تغيير أو تحديث هذه الاتفاقية في أي وقت دون الحاجة إلى إشعار مسبق. ستكون كافة التغييرات نافذة المفعول فور نشرها على موقعنا الإلكتروني أو إبلاغك بها عبر وسائل أخرى. يقع على عاتقك مسؤولية مراجعة هذه الاتفاقية بصورة دورية للتعرف على أي تحديثات. يعد استمرار استخدامك للمنصة بعد إجراء هذه التعديلات بمثابة قبول منك لهذه التغييرات.

13.3. Modifications: fikrtech reserves the right to modify or update this Agreement at any time without prior notice. Any changes made will be effective immediately upon posting on our website or notifying you through other means. It is your responsibility to review this Agreement periodically for any updates. Continued use of the Platform after modifications signifies your acceptance of such changes.

13.4. اتفاقيات إضافية: قد تتطلب بعض الميزات أو الخدمات التي تقدمها فكرتك موافقتك على شروط وأحكام إضافية. في مثل هذه الحالات، ستكون هذه الاتفاقيات الإضافية مكملة لهذه الاتفاقية وتحكم استخدامك لهذه الميزات أو الخدمات المحددة.

13.4. Additional Agreements: Certain features or services provided by fikrtech may require separate agreements or terms and conditions. In such cases, those additional agreements shall supplement this Agreement and govern your use of those specific features or services.

13.5. القابلية للفصل إذا وُجد أن أي بند من بنود هذه الاتفاقية باطل أو غير قانوني أو غير قابل للتنفيذ وفقاً للقانون المعمول به، فيجب اعتبار هذا البند مفصولاً عن هذه الاتفاقية دون التأثير على صحة وقابلية تنفيذ البنود الباقية.

13.5. Severability: If any provision of this Agreement is found to be invalid, illegal, or unenforceable under applicable law, such provision shall be deemed severed from this Agreement without affecting the validity and enforceability of the remaining provisions.

13.6. التنازل: عدم قيام فكرتك بفرض أي حق أو بند من هذه الاتفاقية لا يُعتبر تنازلاً عن هذا الحق أو البند ما لم يتم الاعتراف به والموافقة عليه كتابياً من قبل فكرتك.

13.7. القانون الحاكم: تُحكم هذه الاتفاقية وتُفسر وفقًا لقوانين دولة الإمارات العربية المتحدة، دون الأخذ بمبادئ تعارض القوانين. تخضع أية نزاعات تنشأ عن هذه الاتفاقية أو تتعلق بها حصريًا للاختصاص القضائي للمحاكم الموجودة في دولة الإمارات العربية المتحدة.

13.8. الاتفاقية الكاملة: تُمثل هذه الاتفاقية، بما في ذلك أية اتفاقيات أو شروط وأحكام إضافية مُشار إليها هنا، الاتفاقية الكاملة بينك وبين فكرتك بخصوص استخدامك للمنصة، وتحل محل أية اتفاقيات أو تفاهمات سابقة.

13.9. باستخدامك لمنصة فكرتك، فإنك تقر بأنك قد قرأت وفهمت هذه الاتفاقية الكاملة ووافقت على الالتزام بها. إذا لم توافق على أي جزء من هذه الاتفاقية، يرجى عدم استخدام منصتنا.

13.10. تحتفظ فكرتك بالحق في تعليق أو إنهاء الوصول إلى المنصة في أي وقت ودون إشعار مسبق، وقد تقوم أيضًا بتعديل أو تحديث المنصة دون إشعار.

13.6. Waiver The failure of fikrtech to enforce any right or provision under this Agreement shall not constitute a waiver of such right or provision unless acknowledged and agreed upon in writing by fikrtech.

13.7. Governing Law This Agreement shall be governed by and construed in accordance with the laws of the United Arab Emirates, without regard to its conflict of laws principles. Any disputes arising out of or relating to this Agreement shall be subject to the exclusive jurisdiction of the courts located in the United Arab Emirates.

13.8. Entire Agreement This Agreement, including any additional agreements or terms and conditions referenced herein, constitutes the entire agreement between you and fikrtech regarding your use of the Platform, superseding any prior agreements or understandings.

13.9. By using fikrtech Platform, you acknowledge that you have read, understood, and agreed to be bound by this Entire Agreement. If you do not agree with any part of this Agreement, please refrain from using our Platform.

13.10. fikrtech reserves the right to suspend or terminate access to the Platform at any time without notice, and may also modify or update the Platform without notice.

Usage Agreement of the Angel Partners for fikrtech Platform

This agreement (the “Agreement”) is made between the user (referred as “User” or “Angel Partner” or “You”), and fikrlab company (referred as “fikrlab” or “fikrlab company” or “the company”) for using its Platform (referred as “Platform” or “fikrtech Platform”).

1) Development of new technology-based products: The Platform allows Angel Partners to contribute financially towards the development of innovative products that are in the ideation phase. These products are showcased on the Platform as “Ideas” and are intended to be developed by fikrlab soon.

3) Operation and management of startups: Once established, fikrlab will oversee the operation and management of these startups. This includes providing necessary resources, expertise, and support for their growth and success.

للمشاركة في أي من هذه المبادرات، سيُطلب من الشركاء الملاكيين المساهمة ماليًا من خلال منصة فكرتك. تم تصميم المنصة لجمع هذه المساهمات بأمان من الشركاء الملاكيين.

To participate in any of these initiatives, Angel Partners will be required to contribute financially through fikrtech Platform. The Platform is designed to securely collect these contributions from Angel Partners.

It is important to note that by using fikrtech Platform, you acknowledge that your financial contributions do not guarantee any specific outcomes or returns. The success or failure of any product or startup is subject to various factors beyond our control.

Furthermore, you agree not to use fikrtech Platform for any illegal or unauthorized purposes. You shall not engage in any activities that may disrupt or interfere with the proper functioning of the Platform or compromise its security.

fikrlab reserves the right to modify, suspend, or terminate fikrtech Platform at any time without prior notice. fikrlab also reserve the right to refuse access to the Platform to any individual or entity at its sole discretion.

باستخدام منصة فكرتك، انت تقر وتوافق على أن فكرلاب لن تكون مسؤولة عن أية خسائر مباشرة أو غير مباشرة أو عارضة أو ناتجة عن استخدام المنصة من قبلكم.

By using fikrtech Platform, you acknowledge and agree that fikrlab shall not be liable for any direct, indirect, incidental, consequential, or exemplary damages arising from your use of the Platform.

fikrlab does not offer investment advice or recommendations, and all decisions regarding participation in any of fikrtech products (referred as “Ideas” in fikrtech Platform) are made solely by the user (Angel Partner).

Please read this Usage Agreement carefully before using fikrtech Platform. By accessing and using the Platform, you indicate your acceptance of these terms and conditions. If you do not agree with any part of this agreement, you should refrain from using fikrtech Platform.

1.6. You also acknowledge that fikrlab may modify or update the Platform from time to time without notice and that such modifications may affect your use of the Platform.

1.7. You agree to participate in fikrtech’s referral program and abide by its terms and conditions if you choose to refer new Angel Partners to join the Platform.

02. الأهلية لإستخدام المنصة

02. Eligibility

2.1. لكي تستخدم منصة فكرتك، يجب أن يبلغ عمرك 18 عامًا على الأقل وتمتلك القدرة القانونية للدخول في اتفاق ملزم.

2.1. To use fikrtech Platform, you must be at least 18 years old and have the legal capacity to enter into a binding agreement.

2.2. يجب عليك الامتثال لجميع القوانين والتشريعات المعمول بها.

2.2. You must agree to comply with all applicable laws and regulations, including those related to securities laws and regulations.

2.4. You must acknowledge that partnering in building startups involves significant risks, including the risk of losing the entire amount you participated with, and the typical period building a startup takes around 7 years to 10 years.

2.5. انت تقر وتوافق على استخدام منصة فكرتك للأغراض القانونية فقط كما تقر عدم استخدام المنصة في الانخراط في أي أنشطة احتيالية أو غير قانونية.

2.5. You must agree to use the fikrtech Platform solely for lawful purposes and not engage in any fraudulent or illegal activities.

2.6. You must agree to abide by the terms and conditions of this usage agreement, as well as any additional terms and conditions that may be posted on fikrtech Platform from time to time.

2.7. fikrlab reserves the right to refuse service or access to its Platform to anyone at any time without notice or liability, including but not limited to those who do not meet the eligibility criteria outlined above or who violate any of the terms and conditions of this usage agreement.

03. Account Registration

من خلال تسجيل حساب جديد على منصة فكرتك التقنية، فـإنك توافق على الشروط والأحكام التالية:

By registering an account on fikrtech Platform, you agree to the following terms and conditions:

3.1. انت تقر على الحفاظ على بيانات تسجيل الدخول الخاصة بك سرية وعدم مشاركتها مع أي شخص آخر.

3.1. You agree to keep your login credentials confidential and not share them with anyone else.

3.2. You understand that by participating in fikrlab products and startups as Angel Partner, you are participating with your money in startups with the potential for high returns but also with a high risk of loss.

3.3. You acknowledge that fikrlab is not a registered broker-dealer or investment advisor and does not provide investment advice or recommendations, and fikrtech Platform facilitates the participation in fikrlab ideas/products on your own responsibility.

3.4. انت تقر باستخدام منصة فكرتك في الأغراض المنصوص عليها في هذه الاتفاقية فقط وعدم استخدام المنصة في الانخراط في أي أنشطة احتيالية أو غير قانونية.

3.4. You agree to use fikrtech Platform only for lawful purposes and not engage in any fraudulent or illegal activities.

3.5. You understand that fikrtech’s referral program provides an opportunity for angle partners to earn by referring new angle partners to join the Platform.

3.6. انت تقر بأن فكرلاب تحتفظ بالحق في إنهاء حسابك في أي وقت ولأي سبب دون إشعار مسبق.

3.6. You acknowledge that fikrlab reserves the right to terminate your account at any time for any reason without notice.

3.7. By registering an account on fikrtech Platform, you acknowledge that you have read and agree to these terms and conditions as well as our privacy policy.

04. المشاركة في أفكار/منتجات فكرتك

04. Contribute in fikrtech Ideas/Products

4.3. The user agrees that the only way to participate in one of the Ideas/Products in fikrtech Platform is through fikrtech Platform only, not other means.

4.5. المستخدم يقر بأن فكرلاب لا تضمن أي عوائد للمبالغ المشارك بها في أفكار/منتجات فكرلاب المعروضة على منصة فكرتك والمشار لها بالـأفكار/المنتجات على المنصة.

4.5. The user acknowledges that fiklab does not guarantee any returns of amounts used in participation in building startups.

4.6. المستخدم يقر ويوافق على ان لا يتعدى حد المشاركة الاقصى حسب تقدير فكرلاب لتقليل المخاطر.

4.6. The user agrees never to exceed the maximum amount of participation as determined by fikrlab for each product to minimize the risk.

4.7. المستخدم يدرك أنه قد يحصل على نسبة من الأرباح من حصصه إذا أصبحت الشركة الناشئة رابحة.

4.7. The user understands that he/she may earn a significant amount of profits from their shares if the startup becomes profitable.

4.8. المستخدم يدرك أنه قد يحصل أيضًا على عمولة بنسبة 10% من خلال إحالة شركاء ملاكيين جدد للانضمام إلى منصة فكرتك من خلال برنامج الإحالة.

4.8. The user understands that they may also earn 10% commission by referring to new Angel Partners to join fikrtech Platform through its referral program.

4.9. المستخدم يقر بالامتثال لجميع القوانين والأنظمة ذات الصلة، بما في ذلك وليس على سبيل الحصر قوانين الضرائب.

4.9. The user agrees to comply with all applicable regulations and regulations regarding investing, including but not limited to tax laws and securities laws.

4.10. Angel Partners after participation in one idea can refer new Angel Partners to join the fikrtech Platform to participate in this idea, they will earn a referral bonus of 10% of the new Angel Partner’s participation amount in the same idea.

05. fikrtech Products Ownership Transfer

5.1. Angel partners who have participated through fikrtech Platform into fikrlab Ideas (Products) may transfer the ownership of their shares in fikrtech products exclusively using fikrtech Platform once fikrlab open Ownership Transfer Time Slot and only though out this Time Slot only.

5.2. يحق أيضًا للشركاء الملائكيين الانتظار حتى طرح الشركة المشارك فيها للاكتتاب العام لبيع أسهمهم في البورصة أو انتظار توزيعات الأرباح.

5.2. Angel Partners may also choose to wait for the IPO to sell their shares in the stock exchange market or wait for dividends collection.

5.3. ستوفِّر منصة فكرتك عملية شفافة وآمنة لنقل ملكية المشاركات في افكار(منتجات) فكرتك، مضمنةً أن جميع المعاملات تجرى وفقًا للقوانين والأنظمة ذات الصلة.

5.3. fikrtech Platform will provide a transparent and secure process for fikrtech Products Shares Ownership Transfer, ensuring that all transactions are conducted in compliance with applicable laws and regulations.

6.1.1. يتطلب من مستخدمي منصة فكرتك دفع رسوم اشتراك للولوج إلى خدمات المنصة واستخدامها.

6.1.1. Users of the fikrtech Platform are required to pay a monthly subscription fee in order to access and utilize the Platform’s services.
